Introduction
These Terms & Conditions (“Terms”) govern your access to and use of the services provided by Indware Technologies Pvt. Ltd. (“Company”, “we”, “our”, or “us”). By engaging with our services, you (“Client”, “you”, or “your”) agree to comply with and be bound by these Terms.
Scope of Services
We offer custom software development, IT consulting, system integration, support, and related IT services globally. Each engagement will be governed by a separate agreement, quotation, or Statement of Work (SOW) outlining deliverables, timelines, and pricing.
Client Responsibilities
- Provide clear and complete project requirements.
- Respond to queries and feedback promptly.
- Ensure timely approvals and payments.
- Provide access to required resources (data, systems, personnel) as needed.
Payment Terms
- All invoices are due within [15/30] days of the invoice date unless otherwise specified.
- Late payments may attract interest at [1.5%] per month.
- We reserve the right to pause services for delayed payments.
Intellectual Property
- All custom-developed software and source code will become the Client’s property upon full payment unless otherwise agreed.
- Pre-existing IP or third-party tools used in development remain the property of their respective owners.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement.
Warranty & Support
We provide [30/60/90]-day support from the date of final delivery for bug fixing and minor corrections. Post-warranty maintenance and support services are offered under separate agreements.
Limitation of Liability
We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or use of the software.
Termination
Either party may terminate the agreement:
- For breach of terms, if the breach is not cured within 10 days of written notice.
- For convenience with 30 days’ written notice (subject to settlement of all dues and deliverables up to that point).
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
